Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ELONZYA Austin ("ELONZYA," "we," "us," or "our") governing your access to and use of the ELONZYA platform, mobile application, and related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Eligibility

To use ELONZYA services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable law
• Maintain an active account in good standing
• Meet additional requirements for drivers as specified in the Driver Agreement

User Accounts

Account Creation

You must create an account to use our services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, safety concerns, or any other reason at our sole discretion.

Services Description

ELONZYA provides a technology platform that connects passengers with independent drivers for transportation services. We are a technology company, not a transportation provider.

Key service features include:

• Mobile application for requesting and providing rides
• Matching algorithm connecting passengers with nearby drivers
• GPS tracking and navigation
• Payment processing and fare calculation
• Safety features and support services
• Rating and feedback system

Driver Subscription Model

ELONZYA operates on a driver subscription model where drivers pay a monthly subscription fee (starting at $99/month) to access the platform and keep 100% of their ride fares. Multiple plan tiers are available based on trip volume.

Subscription Terms

• Monthly subscription fees are due in advance
• Subscriptions automatically renew unless cancelled
• No refunds for unused subscription periods
• Drivers must maintain active subscription to accept rides
• All fares and tips collected belong to the driver

Payment Processing

ELONZYA processes passenger payments and remits fares directly to drivers. Subscription fees are charged separately and are non-refundable.

User Conduct

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Engage in fraudulent, deceptive, or misleading conduct
• Harass, threaten, or harm other users
• Discriminate based on race, gender, religion, or other protected characteristics
• Use the platform for any illegal purpose
• Attempt to circumvent security or authentication measures
• Interfere with or disrupt the platform's operation
• Collect user information without consent
• Impersonate another person or entity

Safety and Community Standards

All users must comply with our Community Guidelines and Safety Standards. Violations may result in immediate account suspension or termination.

Zero Tolerance Policies

We maintain zero tolerance for:

• Violence, threats, or physical harm
• Sexual harassment or misconduct
• Discrimination or hate speech
• Drug or alcohol impairment while driving or riding
• Weapons in vehicles (except as permitted by law)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELONZYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

ELONZYA's total liability shall not exceed the amount you paid to ELONZYA in the twelve (12) months preceding the claim or $100, whichever is greater.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ELONZYA does not warrant that the services will be uninterrupted, secure, or error-free, or that defects will be corrected.

Indemnification

You agree to indemnify, defend, and hold harmless ELONZYA and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the services, violation of these Terms, or violation of any rights of another.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Arbitration

Any disputes arising out of or relating to these Terms or the services shall be resolved through binding arbitration in Austin, Texas, except that either party may seek injunctive relief in court for violations of intellectual property rights or confidentiality obligations.

Class Action Waiver

You agree that disputes will be resolved individually and not as part of a class action or collective proceeding.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date.

Your continued use of the services after changes are posted constitutes acceptance of the updated Terms.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and ELONZYA.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
